Independent Contractor Logistics Support Per-Task Earnings

Important: By registering as a Biker Partner on the Chauffit platform, you acknowledge that you have read, understood, and agree to be bound by this Independent Contractor Agreement. You are not an employee of Chauffit. This agreement governs your engagement with Chauffit as an independent logistics service provider within the Chauffit biker network.

1. Role of the Biker Partner

Biker Partners form the logistics backbone of the Chauffit platform. Your core function is to support driver relocation. Transporting driver partners between bookings efficiently, reducing wait times, and improving service availability across Gurgaon and surrounding areas.

Specifically, Biker Partners:

  • Transport Driver Partners on their motorcycles/two-wheelers from one booking endpoint to the next pickup location.
  • Improve operational efficiency by reducing driver idle time between consecutive bookings.
  • Help Chauffit deliver on its promise of fast driver arrival for customers.

The service you provide is classified as logistics support services within the platform ecosystem. You do not provide passenger transport services and do not interact with end-customers directly.

2. Nature of Relationship

You are an independent contractor, not an employee, agent, or partner of Chauffit. This Agreement does not create any employment relationship, entitlement to employee benefits, or statutory rights under Indian labour law including the Industrial Disputes Act, 1947, the Employees' Provident Fund Act, 1952, or the Payment of Gratuity Act, 1972.

Chauffit provides a technology platform for task assignment and coordination. It does not direct or control the manner in which you perform logistics tasks beyond the standards described in this Agreement.

Chauffit is classified as an E-commerce Operator (ECO). The logistics services you provide support the platform's marketplace function. You are not a transport provider for the purposes of the Motor Vehicles Act, 1988 or the CGST Act, 2017.

3. Eligibility and Onboarding

3.1 Eligibility Requirements

To register as a Biker Partner, you must:

  • Be at least 18 years of age.
  • Hold a valid Indian driving licence for a two-wheeled motor vehicle.
  • Own or have lawful access to a roadworthy two-wheeler with valid registration, insurance, and PUC certification.
  • Have a functional smartphone capable of running the Chauffit Biker App.
  • Provide valid KYC documents: Aadhaar card, PAN card, driving licence, vehicle RC book, and a bank account in your name.

3.2 Verification

Chauffit will verify your driving licence through government databases. Your vehicle details will be verified against the RC book provided. All submitted documents must be genuine and current. Submission of false documents is grounds for immediate permanent deactivation.

3.3 Onboarding

Onboarding includes KYC verification, app-based orientation, and acceptance of this Agreement. You must complete all onboarding steps before accepting any platform tasks.

4. Task Assignment and Freedom to Accept

Tasks are assigned to Biker Partners through the Chauffit app based on proximity and availability. As an independent contractor, you retain full freedom to:

  • Log in or out of the platform at any time.
  • Accept or reject any individual task without providing a reason.
  • Set your own working hours and geographic preferences.
  • Work for other platforms or services simultaneously.

Chauffit does not impose minimum task quotas, mandatory availability windows, or shift obligations. However, consistently high rejection rates may affect your task visibility within the platform's assignment algorithm. Chauffit does not compel acceptance of any task.

5. Earnings and Payment Structure

5.1 Per-Task Earnings

Biker Partners are compensated on a per-task basis. The earnings per task are determined by Chauffit based on factors including distance, time, and demand levels, and are displayed in the app before you accept any task.

5.2 Platform Fee Deduction

Chauffit may deduct a platform fee from your per-task earnings. The applicable fee percentage will be communicated through the app and may be revised with reasonable notice.

5.3 Payment Timelines

Earnings are settled to your registered bank account on a weekly basis (or as notified in the app). Chauffit acts as a collection agent and settlement intermediary.

5.4 Incentives

Chauffit may offer performance-based incentives or bonuses during high-demand periods. These are at Chauffit's sole discretion and do not constitute guaranteed income.

5.5 No Guaranteed Earnings

Chauffit does not guarantee any minimum number of tasks, minimum earnings, or continuity of work. Your actual earnings depend on your availability, location, task demand, and platform usage.

6. GST and Tax Obligations

As an independent contractor, you are solely responsible for:

  • Filing your own income tax returns and paying applicable income tax on your platform earnings.
  • Determining whether you are required to register for GST based on your annual aggregate turnover from all sources.
  • Complying with all applicable tax laws including TDS provisions under the Income Tax Act.

Chauffit charges 18% GST on its own platform commission. This is Chauffit's tax liability and is separate from your earnings. Unregistered biker partners are generally not required to charge GST on their logistics support services. If you are GST-registered, you must issue valid GST invoices and remit GST appropriately.

7. Conduct and Safety Standards

While performing tasks through the Chauffit platform, you agree to:

  • Ride safely and comply with all traffic rules and road regulations.
  • Wear a helmet at all times while riding.
  • Treat Driver Partners with professionalism and respect during transit.
  • Not ride under the influence of alcohol, drugs, or any substance that impairs your ability to ride safely.
  • Not use a mobile phone while riding.
  • Report any accidents, incidents, or safety concerns to Chauffit immediately via the app.
  • Maintain your vehicle in roadworthy condition at all times.

Repeated safety violations or serious misconduct may result in suspension or permanent deactivation from the platform.

8. Vehicle and Equipment

8.1 Your Vehicle

You are responsible for maintaining your two-wheeler in good working condition. You confirm that your vehicle is:

  • Registered in your name or that you have lawful authority to use it.
  • Covered by valid third-party motor insurance (at minimum) as required by law.
  • Fitted with a valid PUC certificate.

8.2 Running Costs

All costs associated with your vehicle. Including fuel, maintenance, insurance, registration, and any fines. Are your sole responsibility.

8.3 Chauffit Equipment

If Chauffit provides any equipment (e.g., app-enabled device holders, branded items), such equipment remains Chauffit's property and must be returned upon termination of this Agreement.

9. Platform Access and Control

Chauffit maintains service quality through:

  • Driver Partner ratings of biker transport experience.
  • Performance incentives and visibility controls.
  • Monitoring of incident and complaint reports.

Chauffit may suspend or permanently deactivate your account for violations of this Agreement, fraudulent activity, misconduct, or consistent performance below the platform's minimum standards. Chauffit does not enforce working hours or mandate minimum task completion.

10. Liability and Indemnity

You agree to indemnify and hold harmless Chauffit and its officers, directors, and agents from any claims, losses, damages, and liabilities (including legal fees) arising from:

  • Your provision of logistics services through the platform.
  • Your breach of this Agreement.
  • Any accident, injury, or property damage caused by you while performing tasks.
  • Your violation of any applicable law, traffic rule, or regulation.

Chauffit does not provide personal accident insurance or health coverage for Biker Partners. You are responsible for maintaining your own insurance coverage.

Chauffit shall not be liable for any loss of earnings, loss of business, or indirect or consequential loss arising from your use of or inability to access the platform.

11. Data and Privacy

Chauffit collects and processes your personal data (including KYC documents, location data during active tasks, task history, and earnings) to operate the platform, verify your identity, coordinate task assignments, and comply with applicable laws. Your data is handled in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023.

12. Termination

  • By you: You may cease using the platform at any time by logging out and notifying Chauffit at chauffit@gmail.com.
  • By Chauffit: Chauffit may deactivate your account with reasonable notice, except in cases of serious misconduct where immediate deactivation applies.

Termination does not affect accrued earnings owed for tasks completed prior to the termination date, subject to any outstanding disputes or deductions.

13. Governing Law and Disputes

This Agreement is governed by the laws of India. Disputes shall first be addressed through good-faith negotiation. Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Gurugram, Haryana.

This Biker Partner Agreement is based on Chauffit's Phase 1 Legal Framework and is designed to maintain the independent contractor classification of Biker Partners. The service provided by bikers constitutes logistics support within an E-commerce marketplace, not passenger transport. This document does not constitute legal advice. Both parties are encouraged to seek independent legal counsel before signing.
